Common use of Resignation as Director and Officer Clause in Contracts

Resignation as Director and Officer. Upon any termination of the Employee’s employment under this Agreement, the Employee will be deemed to have resigned, and will, if requested, sign forms of resignation indicating his resignation, as an officer and director of the Corporation and, if applicable, of any of its Affiliates. The Employee’s execution of this Agreement shall be deemed the grant by the Employee to the officers of the Corporation of a limited irrevocable power of attorney (which is deemed coupled with an interest) to sign in the Employee’s name and on the Employee’s behalf any such documentation as may be required to be executed solely for the limited purposes of effectuating such resignations.
