Resignation by Executive other than for Good Reason or in Conjunction with a Change of Control. If the Executive resigns from the employ of EDGEN at any time during the Employment Term for any reason whatsoever (other than for Good Reason or in conjunction with a Change of Control), then EDGEN shall have no further obligations hereunder after the date of resignation other than the payment to the Executive of the Accrued Obligations.
