In the event the Executive resigns from employment for Good Reason: the Company shall pay or provide to the Executive (i) any Accrued Obligations; (ii) the Prorated Bonus; and (iii) subject to Section 5.7 hereof, the Severance Benefit described in Section 5.1(ii)(c).
