Common use of Resignation During a Window Period Clause in Contracts

Resignation During a Window Period. If a Change in Control occurs, Executive may initiate termination of employment by resigning under this Section 3.5 with or without Good Reason during the one (1) month period beginning on the first anniversary of the consummation of the Change in Control (the “Window Period”). Executive shall give the Company written notice pursuant to Section 9 during the Window Period of such resignation, with the Date of Termination to be effective not less than thirty (30) days after the date of such notice.
