Resignation of Directors, Nomination of Directors and Officers. PARENT shall, prior to the Closing, cause none of its directors to resign subsequent to the Effective Time. In addition, PARENT agrees and accepts the officers and directors of the PARENT following the Merger of persons listed on Schedule 1.05(a), until the earlier of their death, resignation or removal or until their respective successors are duly appointed and qualified.
