Resignation of Employee for Good Reason. (a) Other than during the twelve (12) month period commencing on the date of a Change of Control (such twelve (12) month period, the “Change of Control Protection Period”), Employee may resign for “Good Reason” upon notice to the Company within thirty (30) days following the relevant event or condition if any of the following occurs without Employee’s express consent:
