Resignation of Master Servicer. Except as otherwise provided in Sections 9.05 and 9.07 hereof, the Master Servicer shall not resign from the obligations and duties hereby imposed on it unless the Master Servicer’s duties hereunder are no longer permissible under applicable law or are in material conflict by reason of applicable law with any other activities carried on by it and cannot be cured. Any such determination permitting the resignation of the Master Servicer shall be evidenced by an Opinion of Counsel that shall be Independent to such effect delivered to the Trustee. In such event, the obligations of each such party shall be assumed by the Trustee or such successor master servicer appointed by the Trustee (subject to the provisions of Section 9.02(a)).

Any such determination permitting the resignation of the Master Servicer shall be evidenced by an Opinion of Counsel that shall be Independent to such effect delivered to the Trustee and the Securities Administrator. In the event such determination of ineligibility of the Master Servicer to continue in the capacity of master servicer is made by the Master Servicer or the Trustee. No , no such resignation shall become effective until a period of time not to exceed ninety days after the Securities Administrator receives written notice thereof from the Trustee and until the Securities Administrator shall have assumed, or a successor master servicer shall have been appointed by the Trustee or the Securities Administrator, as applicable, and until such successor shall have assumed, the Master Servicer’s 's responsibilities and obligations under this Agreement. Written notice Notice of such resignation shall be given promptly by the Master Servicer and the Depositor to the Trustee. If, at any time, the Master Servicer resigns under this Section 9.06, or transfers or assigns its rights and obligations under Section 9.07, or is removed as Master Servicer pursuant to Section 6.14, then at such time Xxxxx Fargo Bank, N.A. also shall be entitled to resign as Securities Administrator, Paying Agent, Authenticating Agent and Certificate Registrar under this Agreement. If, at any time, the Master Servicer resigns under this Section 9.0610.06, or transfers or assigns its rights and obligations under Section 9.0710.07, or is removed as Master Servicer pursuant to Section 6.148.14, then at such time as Xxxxx Fargo Bank, N.A. also shall resign (and shall be entitled to resign resign) as Securities Administrator, Paying Agent, Authenticating Agent and Certificate Registrar under this Agreement. Resignation of Master Servicer. Except as otherwise provided in Sections 9.05 9.27 and 9.07 9.29 hereof, the Master Servicer shall not resign from the obligations and duties hereby imposed on it unless it or the Trustee or the Securities Administrator determines that the Master Servicer’s 's duties hereunder are no longer permissible under applicable law or are in material conflict by reason of applicable law with any other activities carried on by it and cannot be cured. Any such determination permitting the resignation of the Master Servicer shall be evidenced by an Opinion of Counsel that shall be Independent to such effect delivered to the Trustee and the Securities Administrator. In the event such determination of ineligibility of the Master Servicer to continue in the capacity of master servicer is made by the Master Servicer or the Trustee. Any such determination permitting the resignation of the Master Servicer shall be evidenced by an Opinion of Counsel that shall be Independent to such effect delivered to the Trustee. No such resignation shall become effective until the Trustee shall have assumed, or a successor master servicer shall have been appointed by the Trustee and until such successor shall have assumed, the Master Servicer’s responsibilities and obligations under this Agreement. If, at any time, the Master Servicer resigns under this Section 9.06, or transfers or assigns its rights and obligations under Section 9.07, or is removed as Master Servicer pursuant to Section 6.14, then at such time Xxxxx Wxxxx Fargo Bank, N.A. also shall resign (and shall be entitled to resign resign) as Securities Administrator, Paying Agent, Authenticating Agent Agent, Rule 17g-5 Information Provider and Certificate Registrar under this Agreement. In such event, the obligations of each such party shall be assumed by the Trustee or such successor master servicer appointed by the Trustee (subject to the provisions of Section 9.02(a)); provided that such successor master servicer and the Trustee shall be permitted to retain one or more other parties to assume such additional capacities and the duties related thereto.

In such event, the obligations of each such party shall be assumed by the Trustee or such successor master servicer appointed by the Trustee (subject to the provisions of Section 9.02(a)); provided that such successor master servicer and the Trustee shall be permitted to retain one or more other parties to assume such additional capacities and the duties related thereto.

Resignation of Master Servicer. Except as otherwise provided in Sections 9.05 9.27 and 9.07 9.29 hereof, the Master Servicer shall not resign from the obligations and duties hereby imposed on it unless it, the Trustee or the Securities Administrator determines that the Master Servicer’s duties hereunder are no longer permissible under applicable law or are in material conflict by reason of applicable law with any other activities carried on by it and cannot be cured. Any such determination permitting the resignation of the Master Servicer shall be evidenced by an Opinion of Counsel that shall be Independent to such effect delivered to the Trustee and the Securities Administrator. In the event such determination of ineligibility of the Master Servicer to continue in the capacity of master servicer is made by the Master Servicer or the Trustee. No , no such resignation shall become effective until a period of time not to exceed ninety days after the Securities Administrator receives written notice thereof from the Trustee and until the Securities Administrator shall have assumed, or a successor master servicer shall have been appointed by the Trustee or the Securities Administrator, as applicable, and until such successor shall have assumed, the Master Servicer’s responsibilities and obligations under this Agreement. If, at any time, the Master Servicer resigns under this Section 9.06, or transfers or assigns its rights and obligations under Section 9.07, or is removed as Master Servicer pursuant to Section 6.14, then at such time Xxxxx Fargo Bank, N.A. also shall be entitled to resign as Securities Administrator, Paying Agent, Authenticating Agent and Certificate Registrar under this Agreement. In such event, the obligations of each such party shall be assumed by the Trustee or such successor master servicer appointed by the Trustee (subject to the provisions of Section 9.02(a))Depositor.

In such event, the obligations of each such party shall be assumed by the Trustee or such successor master servicer appointed by the Trustee (subject to the provisions of Section 9.02(a)).

In such event, the obligations of each such party shall be assumed by the Trustee or such successor master servicer appointed by the Trustee (subject to the provisions of Section 9.02(a9.02(c)).

National Association also shall resign (and shall be entitled to resign resign) as Securities Administrator, Paying Agent, Authenticating Agent and Certificate Registrar under this Agreement. In such event, the obligations of each such party shall be assumed by the Trustee or such successor master servicer appointed by the Trustee (subject to the provisions of Section 9.02(a9.02(c)).

Any such determination permitting the resignation of the Master Servicer shall be evidenced by an Opinion of Counsel that shall be Independent to such effect delivered to the Indenture Trustee. No such resignation shall become effective until the Indenture Trustee shall have assumed, or a successor master servicer shall have been appointed by the Indenture Trustee and until such successor shall have assumed, the Master Servicer’s 's responsibilities and obligations under this Agreement. Written notice Notice of such resignation shall be given promptly by the Master Servicer and the Depositor to the Indenture Trustee. If, at any time, the Master Servicer resigns under this Section 9.06Section, or transfers or assigns its rights and obligations under Section 9.07, or is removed as Master Servicer pursuant to Section 6.1412.5, then at such time Xxxxx Fargo Bank, N.A. as [o] also shall resign (and shall be entitled to resign resign) as Securities Administrator, Paying Agent, Authenticating Agent and Certificate Registrar Administrator under this Agreement. In such event, the obligations of each such party shall be assumed by the Indenture Trustee or such successor master servicer appointed by the Indenture Trustee (subject to the provisions of Section 9.02(a)12.2).

Any such determination permitting the resignation of the Master Servicer shall be evidenced by an Opinion 104 of Counsel that shall be Independent to such effect delivered to the Trustee. No such resignation of the Master Servicer shall become effective until the Trustee shall have assumed, or a successor master servicer shall have been appointed by the Trustee pursuant to Section 9.02 and until such successor shall have assumed, the Master Servicer’s 's responsibilities and obligations under this Agreement. Written notice Notice of any such resignation shall be given promptly by the Master Servicer and the Depositor to the Trustee. If, at any time, the Master Servicer resigns under this Section 9.06, or transfers or assigns its rights and obligations under Section 9.07, or is removed as Master Servicer pursuant to Section 6.14, then at such time Xxxxx Wells Fargo Bank, N.A. National Associxxxxx (or any successor thereto) also shall resign (and shall be entitled to resign resign) as Securities Administrator, Paying Agent, Authenticating Agent and Certificate Registrar under this Agreement. In such event, the obligations of each such party shall be assumed by the Trustee or such successor master servicer appointed by the Trustee (subject to the provisions of Section 9.02(a)).

National Association also shall resign (and shall be entitled to resign resign) as Securities Trust Administrator, Paying Agent, Authenticating Agent and Certificate Registrar under this Agreement. In such event, the obligations of each such party shall be assumed by the Trustee or such successor master servicer appointed by the Trustee (subject to the provisions of Section 9.02(a)).

Written notice of such resignation shall be given promptly by the Master Servicer and the Depositor to the Trustee. If, at any time, the Master Servicer resigns under this Section 9.06, or transfers or assigns its rights and obligations under Section 9.07, or is removed as Master Servicer pursuant to Section 6.14, then at such time Xxxxx Fargo Bank, N.A. JPMorgan Chase Bank also shall be entitled to resign as Securities Administrator, Paying Agent, Authenticating Agent and Certificate Registrar under this Agreement. In such event, the obligations of each such party shall be assumed by the Trustee or such successor master servicer appointed by the Trustee (subject to the provisions of Section 9.02(a)).

Resignation of Master Servicer. Except as otherwise provided in Sections 9.05 4.14 and 9.07 4.16 hereof, the Master Servicer shall not resign from the obligations and duties hereby imposed on it unless the Master Servicer’s duties hereunder are no longer permissible under applicable law or are in material conflict by reason of applicable law with any other activities carried on by it and cannot be cured. Any such determination permitting the resignation of the Master Servicer shall be evidenced by an independent Opinion of Counsel that shall be Independent to such effect delivered to the Depositor, the Seller and the Trustee. No such resignation shall become effective until the Trustee shall have assumed, or a successor master servicer Successor Master Servicer shall have been appointed by the Trustee and until such successor shall have assumed, the Master Servicer’s responsibilities and obligations under this Agreement. Written notice Notice of such resignation shall be given promptly by the Master Servicer and the Depositor to the Trustee. If, at any time, the Master Servicer resigns under this Section 9.064.15, or transfers or assigns its rights and obligations under Section 9.074.16, or is removed as Master Servicer pursuant to Section 6.148.03, then at such time Xxxxx Fargo Bank, N.A. also shall resign (and shall be entitled to resign resign) as Securities Administrator, Paying Agent, Authenticating Agent and Certificate Registrar under this Agreement. In such event, the obligations of each such party shall be assumed by the Trustee or such successor master servicer Successor Master Servicer appointed by the Trustee (subject to the provisions of Section 9.02(a)8.04).
