Resignation of Master Servicer. Except as otherwise provided in Sections 9.05 and 9.07 hereof, the Master Servicer shall not resign from the obligations and duties hereby imposed on it unless the Master Servicer’s duties hereunder are no longer permissible under applicable law or are in material conflict by reason of applicable law with any other activities carried on by it and cannot be cured. In such event, the obligations of each such party shall be assumed by the Trustee or such successor master servicer appointed by the Trustee (subject to the provisions of Section 9.02(a)).

(b) The Master Servicer may resign from the obligations and duties imposed on it, upon 30 days notice to the Trustee and the Paying Agent, provided that (i) a successor servicer (w) is available, (x) has assets of at any timeleast $15,000,000, (y) is willing to assume the obligations, responsibilities, and covenants to be performed hereunder by the Master Servicer resigns under this Section 9.06on substantially the same terms and conditions, or transfers or assigns its rights and for not more than equivalent compensation to that herein provided and (z) assumes all obligations under Section 9.07, or is removed as Master Servicer pursuant to Section 6.14, then at such time Xxxxx Fargo Bank, N.A. also shall be entitled to resign as Securities Administrator, Paying Agent, Authenticating Agent and Certificate Registrar under this Agreement. Written notice Notice of such resignation shall be given promptly by the Master Servicer to the other parties to this Agreement. No such resignation shall become effective until the Indenture Trustee shall have assumed, or a successor master servicer shall have been appointed by the Indenture Trustee and until such successor shall have assumed, the Master Servicer’s 's responsibilities and obligations under this Agreement. Written notice Notice of such resignation shall be given promptly by the Master Servicer and the Depositor to the Indenture Trustee. If, at any time, the Master Servicer resigns under this Section 9.064.15, or transfers or assigns its rights and obligations under Section 9.074.16, or is removed as Master Servicer pursuant to Section 6.148.03, then at such time Xxxxx Fargo Bank, N.A. also shall resign (and shall be entitled to resign resign) as Securities Administrator, Paying Agent, Authenticating Agent and Certificate Registrar under this Agreement. In such event, the obligations of each such party shall be assumed by the Trustee or such successor master servicer Successor Master Servicer appointed by the Trustee (subject to the provisions of Section 9.02(a)8.04).

Resignation of Master Servicer. If, at any time, the Master Servicer resigns under this Section 9.06, or transfers or assigns its rights and obligations under Section 9.07, or is removed as Master Servicer pursuant to Section 6.14, then at such time Xxxxx Wxxxx Fargo Bank, N.A. also shall resign (and shall be entitled to resign resign) as Securities Administrator, Paying Agent, Authenticating Agent Agent, Rule 17g-5 Information Provider and Certificate Registrar under this Agreement. In such event, the obligations of each such party shall be assumed by the Trustee or such successor master servicer appointed by the Trustee (subject to the provisions of Section 9.02(a)); provided that such successor master servicer and the Trustee shall be permitted to retain one or more other parties to assume such additional capacities and the duties related thereto.

Resignation of Master Servicer. Except as otherwise provided in Sections 9.05 9.27 and 9.07 9.29 hereof, the Master Servicer shall not resign from the obligations and duties hereby imposed on it unless it or the Trustee or the Securities Administrator determines that the Master Servicer’s duties hereunder are no longer permissible under applicable law or are in material conflict by reason of applicable law with any other activities carried on by it and cannot be cured. Any such determination permitting the resignation of the Master Servicer shall be evidenced by an Opinion of Counsel that shall be Independent to such effect delivered to the Trustee and the Securities Administrator. In the event such determination of ineligibility of the Master Servicer to continue in the capacity of master servicer is made by the Master Servicer, the Securities Administrator or the Trustee. No such resignation shall become effective until the Trustee shall have assumed, or a successor master servicer shall have been appointed by the Trustee and until such successor shall have assumed, the Master Servicer’s responsibilities and obligations under this Agreement. Written notice Notice of such resignation shall be given promptly by the Master Servicer and the Depositor to the Trustee. If, at any time, the Master Servicer resigns under this Section 9.06, or transfers or assigns its rights and obligations under Section 9.07, or is removed as Master Servicer pursuant to Section 6.14, then at such time Xxxxx Fargo Bank, N.A. as U.S. Bank National Association also shall resign (and shall be entitled to resign resign) as Securities Administrator, Paying Agent, Authenticating Agent and Certificate Registrar under this Agreement. In such event, the obligations of each such party shall be assumed by the Trustee or such successor master servicer appointed by the Trustee (subject to the provisions of Section 9.02(a)).

Resignation of Master Servicer. Except as otherwise provided in Sections 9.05 and 9.07 hereof, the Master Servicer shall not resign from the obligations and duties hereby imposed on it unless the Master Servicer’s duties hereunder are no longer permissible under applicable law or are in material conflict by reason of applicable law with any other activities carried on by it and such incapacity cannot be cured. Any such determination permitting the resignation of the Master Servicer shall be evidenced by an Opinion of Counsel that shall be Independent to such effect delivered to the Trustee. No such resignation shall become effective until the Trustee shall have assumed, or a successor master servicer shall have been appointed by the Trustee and until such successor shall have assumed, the Master Servicer’s responsibilities and obligations under this Agreement. Written notice Notice of such resignation shall be given promptly by the Master Servicer and to the Depositor to and the Trustee. If, at any time, the Master Servicer resigns under this Section 9.06, or transfers or assigns its rights and obligations under Section 9.07, or is removed as Master Servicer pursuant to Section 6.14, then at such time Xxxxx Wxxxx Fargo Bank, N.A. also shall resign (and shall be entitled to resign resign) as Securities Administrator, Paying Agent, Authenticating Agent Agent, Rule 17g-5 Information Provider and Certificate Registrar under this Agreement. In such event, the obligations of each such party shall be assumed by the Trustee or such successor master servicer appointed by the Trustee (subject to the provisions of Section 9.02(a)); provided that such successor master servicer and the Trustee shall be permitted to retain one or more other parties to assume such additional capacities and the duties related thereto.
