Resignation or Removal of Issuing and Paying Agent. (a) The Issuing and Paying Agent may at any time resign as such agent by giving written notice to the Company of such intention on its part, specifying the date on which its desired resignation shall become effective; provided, however, that such date shall not be less than 90 days after receipt of such notice by the Company unless the Company and the Issuing and Paying Agent otherwise agree in writing.
