RESIGNATION, REDEMPTION, AND WITHDRAWAL. To the fullest extent permitted by law, except as set forth in the last sentence of Section 6.1, without a prior Majority Vote, the General Partner shall not have the right to resign or withdraw from the Partnership. Without a prior Majority Vote, the General Partner shall have no right to have all or any portion of its interest in the Partnership redeemed. Any resigned, withdrawn or removed General Partner shall retain its interest in the capital of the Partnership and its other economic rights under this Agreement.
