Resignations; Banking Arrangements. Seller shall have delivered to Buyer the resignations from the Company and each Subsidiary of those Persons listed in Schedule 10.13. In addition, to the extent requested by Buyer, Seller shall have executed and delivered, and shall have caused the Company to execute and deliver, such certificates and documents as may be necessary or appropriate to change the authorized signatories on all bank accounts and/or safe deposit boxes maintained by or in the name of the Company.

Resignations; Banking Arrangements. The Company and/or the Stockholder shall have delivered to the Surviving Corporation the written resignations, dated and effective on the Closing Date, of such of the officers and directors of the Company as may be requested by Apollo.
