RESOLUTION BINDS ALL HOLDERS. 10.1 Binding nature Subject to paragraph 10.2 below, any Resolution passed at a meeting of holders of Covered Bonds duly convened and held in accordance with this Agreement shall be binding upon all holders of Covered Bonds of such Series, whether or not such holders are present at such meeting and whether or not such holders are voting at that meeting.
