Resolution by agreement. (1) If a Dispute arises under this Agreement: (a) the party claiming that a Dispute exists must give notice to the other party of the nature of the Dispute; and (b) Te Whatu Ora and the Provider will each act in good faith and use its best endeavours to resolve the Dispute by agreement. (2) Te Whatu Ora and the Provider agree to use effective and efficient processes to resolve any Dispute, to the extent that Te Whatu Ora and the Provider consider that it is reasonably practicable to do so to avoid undesirable duplication given limited funding resources, which may include, if Te Whatu Ora and the Provider agree, involving a number of providers or representative bodies in a single dispute process. (3) The Provider may appoint a Provider representative to represent it in a Dispute, in accordance with clause B.22.
