Common use of Resolution; Certificate of Incumbency Clause in Contracts

Resolution; Certificate of Incumbency. A copy of a resolution of the Board of Directors of Borrower authorizing the execution, delivery and performance of this Agreement, the Note, the Pledge Agreement and other documents provided for in this Agreement, certified by the secretary or assistant secretary of Borrower, together with a certificate of such officer of Borrower, certifying the names of the officer(s) of Borrower authorized to sign this Agreement, the Pledge Agreement, the Note and any other documents provided for in this Agreement, together with a sample of the true signature of each such Person (Lender may conclusively rely on such certificate until formally advised by a like certificate of any changes therein).

A copy of a resolution of the Board of Directors of Borrower authorizing or ratifying the execution, delivery and performance performance, respectively, of this Agreement, the Note, Note and the Pledge Agreement and other documents provided for in this Agreement, certified by the secretary or assistant secretary an appropriate officer of Borrower, together with a certificate of such an appropriate officer of Borrower, certifying the names of the officer(s) of Borrower authorized to sign this Agreement, the Pledge Agreement, the Note and any the other documents provided for in this Agreement, together with a sample of the true signature of each such Person person (Lender may conclusively rely on such certificate until formally advised by a like certificate of any changes therein).;
