Resolutions and directions of ETP Securityholders. The Trustee shall not be responsible for having acted in good faith on a resolution purporting to have been passed at a meeting of ETP Securityholders in respect of which minutes have been made and signed or any instruction or direction in writing purporting to have been given by or on behalf of ETP Securityholders even if it is later found that there was a defect in the constitution of the meeting or the passing of the resolution or the giving of such instruction or direction or that such resolution, instruction or direction was not valid or binding on the ETP Securityholders.
