Common use of Resolutions; Incumbency Clause in Contracts

Resolutions; Incumbency. (A) Copies of the resolutions of the board of directors of each Credit Party approving and authorizing the execution, delivery and performance of this Agreement and the other Loan Documents to be delivered by it hereunder, certified as of the Effective Date by the Secretary or an Assistant Secretary of such Credit Party; and (B) A certificate of the Secretary or Assistant Secretary of each Credit Party as of the Effective Date certifying the names and true signatures of the officers of such Credit Party authorized to execute and deliver this Agreement and all other Loan Documents to be delivered by it hereunder.

Resolutions; Incumbency. (Ai) Copies of the resolutions of the board of directors of each Credit Loan Party approving and authorizing the execution, delivery and performance of this Agreement and the other Loan Documents to be delivered by it hereundertransactions contemplated hereby, certified as of the Effective Date by the Secretary or an Assistant Secretary of such Credit Loan Party; and (Bii) A certificate of the Secretary or Assistant Secretary of each Credit Loan Party as of the Effective Date certifying the names and true signatures of the officers of such Credit Loan Party authorized to execute execute, deliver and deliver perform, as applicable, this Agreement and all other Loan Documents to be delivered by it hereunder.;

Resolutions; Incumbency. (Ai) Copies of the resolutions of the board of directors (or similar governing body) of each Credit Loan Party approving and authorizing the execution, delivery and performance of this Agreement and transactions contemplated by the other Loan Documents to be delivered by which it hereunderis a party, certified as of the Effective Date by the Secretary or Secretary, an Assistant Secretary or a similar officer of such Credit Loan Party; and (Bii) A certificate of the Secretary, an Assistant Secretary or Assistant Secretary a similar officer of each Credit Loan Party as of the Effective Date certifying the names and true signatures of the officers of such Credit Loan Party authorized to execute execute, deliver and deliver this Agreement and perform all other Loan Documents to be delivered by it hereunder.

(Ai) Copies of the resolutions of the board of directors of each Credit Party approving the Borrower and its Subsidiaries parties to any Loan Document authorizing the execution, delivery and performance of this Agreement and the other Loan Documents to be delivered by it hereundertransactions contemplated hereby or thereby, certified as of the Effective Closing Date by the Secretary or an Assistant Secretary of such Credit Partyparty; and (Bii) A certificate of the Secretary or Assistant Secretary of each Credit Party as of the Effective Date Borrower and its Subsidiaries parties to any Loan Document certifying the names and true signatures of the officers of such Credit Party party authorized to execute execute, deliver and deliver perform, as applicable, this Agreement and all other Loan Documents to be delivered by it such party hereunder.;

(Ai) Copies of the resolutions of the board of directors (or the executive committee thereof) of each Credit Loan Party approving and authorizing the execution, delivery and performance of this Agreement and the other Loan Documents to be delivered by it hereundertransactions contemplated hereby, certified as of the Effective Closing Date by the Secretary or an Assistant Secretary of such Credit Loan Party; and (Bii) A a certificate of the Secretary or an Assistant Secretary of each Credit Loan Party as of the Effective Date certifying the names and true signatures of the officers of such Credit Loan Party authorized to execute execute, deliver and deliver this Agreement and all other perform the Loan Documents to be delivered by it hereunderwhich such Loan Party is a party.

(Ai) Copies of the resolutions of the board of directors or equivalent governing body of each Credit Loan Party approving and authorizing the execution, delivery transactions contemplated hereby and performance of this Agreement and the by each other Loan Documents Document to be delivered by it hereunderwhich such Loan Party is a party, certified as of the Effective Closing Date by the Secretary or an Assistant Secretary (or other appropriate officer or official) of such Credit PartyPerson; and (Bii) A certificate of the Secretary or Assistant Secretary of each Credit Party as of Loan Party, dated the Effective Date Closing Date, certifying the names names, titles and true signatures of the officers of such Credit Loan Party authorized to execute execute, deliver and deliver perform, as applicable, this Agreement Agreement, and all other Loan Documents to be delivered by it hereunder.;
