Common use of Resolutions; Incumbency Clause in Contracts

Resolutions; Incumbency. (1) Copies of the resolutions, powers of attorney or other analogous action of the board of directors, members or other governing body of the Guarantor authorizing the transactions contemplated hereby, certified as of the date hereof by the Secretary, Assistant Secretary or other analogous official of the Guarantor; and

(1) Copies of the resolutions, powers of attorney or other analogous action of the board of directors, members or other governing body of the Guarantor and of Abengoa S.A. authorizing the transactions contemplated hereby, certified as of the date hereof by the Secretary, Assistant Secretary or other analogous official of the GuarantorGuarantor and of Abengoa, S.A., respectively; and

(1i) Copies of the resolutions, powers of attorney or other analogous action resolutions of the board of directors, members or other governing body directors of the Company and each Guarantor authorizing the transactions contemplated hereby, certified as of the date hereof Closing Date by the Secretary, Secretary or an Assistant Secretary or other analogous official of such Person; and (ii) A certificate of the GuarantorSecretary or Assistant Secretary of the Company, and each Guarantor certifying the names and true signatures of the officers of the Company or such Guarantor authorized to execute, deliver and perform, as applicable, this Agreement, and all other Loan Documents to be delivered by it hereunder; and(c)
