Common use of Resolutions; Incumbency Clause in Contracts

Resolutions; Incumbency. (i) Copies of partnership authorizations for the Borrower and resolutions of the board of directors of each of the General Partner, Petrolane and the Restricted Subsidiaries authorizing the transactions contemplated hereby to which it is a party, certified as of the Closing Date by the Secretary or an Assistant Secretary of such Person; and (ii) A certificate of the Secretary or Assistant Secretary of each of the General Partner, Petrolane and the Restricted Subsidiaries certifying the names and true signatures of its officers authorized to execute, deliver and perform, as applicable, on behalf of such Person the Loan Documents to which it is a party.

(i) Copies of partnership authorizations for the Borrower and resolutions of the board of directors of each directors, as applicable, of the General PartnerBorrower, Petrolane each Guarantor and each Restricted Subsidiary party to the Restricted Subsidiaries Consent authorizing the transactions contemplated hereby to which it is a party, certified as of the Closing Date date hereof by the Secretary or an Assistant Secretary of such Person; and (ii) A certificate of the Secretary or Assistant Secretary of the Borrower, each of Guarantor and each Restricted Subsidiary party to the General Partner, Petrolane and the Restricted Subsidiaries Consent certifying the names and true signatures of its officers authorized to execute, deliver and perform, as applicable, on behalf of such Person Person, the Loan Documents to which it is a party.
