Copies of resolutions, as adopted by the Borrower's Board of Directors, approving the execution, delivery and performance of this Loan Agreement, the Debentures, and the other Loan Documents, including the transactions contemplated herein and accompanied by a certificate of the Secretary or Assistant Secretary of Borrower stating that such resolutions have been duly adopted, are true and correct, have not been altered or repealed and are in full force and effect.
