Common use of Responsibility for documentation Clause in Contracts

Responsibility for documentation. Neither the Agent nor any Arranger: (i) is responsible for the adequacy, accuracy and/or completeness of any information (whether oral or written) supplied by the Agent, an Arranger, an Obligor or any other person given in or in connection with any Finance Document or the transactions contemplated in the Finance Documents; (ii) is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or any other agreement, arrangement or document entered into, made or executed in anticipation of or in connection with any Finance Document; or (iii) is responsible for any determination as to whether any information provided or to be provided to any Finance Party is non-public information the use of which may be regulated or prohibited by applicable law or regulation relating to insider dealing or otherwise.

Responsibility for documentation. Neither the Facility Agent nor any the Arranger: (ia) is responsible for the adequacy, accuracy and/or completeness of any information (whether oral or written) supplied by the Facility Agent, an the Arranger, an Obligor or any other person given in or in connection with any Finance Document or the transactions contemplated in the Finance DocumentsInformation Package; (iib) is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or any other agreement, arrangement or document entered into, made or executed in anticipation of or in connection with any Finance Document; or (iiic) is responsible for any determination as to whether any information provided or to be provided to any Finance Party is non-public information the use of which may be regulated or prohibited by applicable law or regulation relating to insider dealing or otherwise.

Responsibility for documentation. Neither the Agent Agent, the Security Agent, the Arranger nor any Arrangerthe Bookrunner is responsible for: (ia) is responsible for the adequacy, accuracy and/or completeness of any information (whether oral or written) supplied by the Agent, an the Security Agent, the Arranger, the Bookrunner, an Obligor or any other person given in or in connection with any Finance Document or the transactions contemplated in the Finance DocumentsInformation Package; (iib) is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or any other agreement, arrangement or document entered into, made or executed in anticipation of or in connection with any Finance Document; or (iiic) is responsible for any determination as to whether any information provided or to be provided to any Finance Party is non-public information the use of which may be regulated or prohibited by applicable law or regulation relating to insider dealing or otherwise.

Neither None of the Agent nor any ArrangerAgents or Mandated Lead Arrangers: (ia) is responsible for the adequacy, accuracy and/or completeness of any information (whether oral or written) supplied by the Agent, an any other Agent or Mandated Lead Arranger, an Obligor or any other person Person given in or in connection with any Finance Document or the transactions contemplated in the Finance DocumentsInformation Memorandum; (iib) is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or any other agreement, arrangement or document entered into, made or executed in anticipation of or in connection with any Finance Document; or (iiic) is responsible for any determination as to whether any information provided or to be provided to any Finance Secured Party is non-public information the use of which may be regulated or prohibited by applicable law or regulation Legal Requirements relating to insider dealing or otherwise.

Neither None of the Agent, the Security Agent nor any and the Arranger: (ia) is responsible for the adequacy, accuracy and/or completeness of any information (whether oral or written) supplied by the Agent, an the Security Agent, the Arranger, an Obligor the Borrower or any other person given in or in connection with any Finance Document or the transactions contemplated in the Finance Documents;Document; or (iib) is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or any other agreement, arrangement or document entered into, made or executed in anticipation of or in connection with any Finance Document; or (iiic) is responsible for any determination as to whether any information provided or to be provided to any Finance Party is non-public information the use of which may be regulated or prohibited by applicable law or regulation relating to insider dealing or otherwise.

Neither the Agent nor any the Arranger: (ia) is responsible for the adequacy, accuracy and/or completeness of any information (whether oral or written) supplied by the Agent, an the Arranger, an Obligor or any other person given in or in connection with any Finance Document or the transactions contemplated in the Finance Documents;Confidential Transaction Description; or (iib) is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or any other agreement, arrangement or document entered into, made or executed in anticipation of or in connection with any Finance Document; or (iiic) is responsible for any determination as to whether any information provided or to be provided to any Finance Party is non-public information the use of which may be regulated or prohibited by applicable law or regulation relating to insider dealing or otherwise.

Neither the Agent nor any the Mandated Lead Arranger: (ia) is responsible for the adequacy, accuracy and/or completeness of any information (whether oral or written) supplied by the Agent, an the Mandated Lead Arranger, an Obligor or any other person given in or in connection with any Finance Document or the transactions contemplated in the Finance Documents;Document; or (iib) is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or any other agreement, arrangement or document entered into, made or executed in anticipation of or in connection with any Finance Document; or (iiic) is responsible for any determination as to whether any information provided or to be provided to any Finance Party is non-public information the use of which may be regulated or prohibited by applicable law or regulation relating to insider dealing or otherwise.

Neither the Facility Agent nor any Mandated Lead Arranger: (ia) is responsible for the adequacy, accuracy and/or completeness of any information (whether oral or written) supplied by any of the Facility Agent, an Arrangerthe Jointed Coordinators, an Obligor the Obligors or any other person persons given in or in connection with any Finance Document or the transactions contemplated in the Finance Documents;Information Document; or (iib) is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or any other agreement, arrangement or document entered into, made or executed in anticipation of or in connection with any Finance Document; or (iiic) is responsible for any determination as to whether any information provided or to be provided to any Finance Party is non-public information the use of which may be regulated or prohibited by applicable law or regulation relating to insider dealing or otherwise.

Neither the Agent nor any the Arranger: (ia) is responsible for the adequacy, accuracy and/or completeness of any information (whether oral or written) supplied by the Agent, an the Arranger, an Obligor or any other person given in or in connection with any Finance Document or the transactions contemplated in the Finance Documents; (iib) is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or any other agreement, arrangement or document entered into, made or executed in anticipation of or in connection with any Finance Document; or (iiic) is responsible for any determination as to whether any information provided or to be provided to any Finance Party is non-public information the use of which may be regulated or prohibited by applicable law or regulation relating to insider dealing or otherwise.

Responsibility for documentation. Neither the Facilities Agent nor any ArrangerArranger nor any Fronting Bank: (ia) is responsible for the adequacy, accuracy and/or completeness of any information (whether oral or written) supplied by the Facilities Agent, an Arranger, a Fronting Bank, an Obligor or any other person given in or in connection with any Finance Document or the transactions contemplated in the Finance DocumentsDocument; (iib) is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or any other agreement, arrangement or document entered into, made or executed in anticipation of or in connection with any Finance Document; or (iiic) is responsible for any determination as to whether any information provided or to be provided to any Finance Party is non-public information the use of which may be regulated or prohibited by applicable law or regulation relating to insider dealing or otherwise.

Responsibility for documentation. Neither None of the Agent Facility Agent, the Arrangers nor any Arrangerthe Coordinator: (i) 26.8.1 is responsible for the adequacy, accuracy and/or completeness of any information (whether oral or written) supplied by the Facility Agent, an Arrangerthe Arrangers, an Obligor or any other person given in or in connection with any Finance Document or the transactions contemplated in the Finance Documents;Document; or (ii) 26.8.2 is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or any other agreement, arrangement or document entered into, made or executed in anticipation of or in connection with any Finance Document; or (iii) 26.8.3 is responsible for any determination as to whether any information provided or to be provided to any Finance Party is non-public information the use of which may be regulated or prohibited by applicable law or regulation relating to insider dealing or otherwise.

Responsibility for documentation. Neither the Agent nor any Arrangerthe Coordinator: (ia) is responsible for the adequacy, accuracy and/or completeness of any information (whether oral or written) supplied by the Agent, an Arrangerthe Coordinator, an Obligor or any other person given in or in connection with any Finance Document or the transactions contemplated in the Finance Documents;Information Memorandum; or (iib) is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or any other agreement, arrangement or document entered into, made or executed in anticipation of or in connection with any Finance Document; or (iiic) is responsible for any determination as to whether any information provided or to be provided to any Finance Party is non-public information the use of which may be regulated or prohibited by applicable law or regulation relating to insider dealing or otherwise.
