Common use of Responsibility for documentation Clause in Contracts

Responsibility for documentation. None of the Facility Agent nor the Arranger: (a) is responsible for the adequacy, accuracy and/or completeness of any information (whether oral or written) supplied by the Facility Agent, the Mandated Lead Arranger, an Obligor or any other person given in or in connection with any Finance Document or the Tender Offer Prospectus or the transactions contemplated in the Finance Documents; or (b) is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or the Transaction Security or any other agreement, arrangement or document entered into, made or executed in anticipation of or in connection with any Finance Document or the Transaction Security.

Responsibility for documentation. None of the Facility Agent nor Agent, the ArrangerArranger and the Trustee: (a) is responsible for the adequacy, accuracy and/or completeness of any information (whether oral or written) supplied by the Facility Agent, the Mandated Lead Arranger, the Trustee, an Obligor or any other person Person given in or in connection with any Finance Document or the Tender Offer Prospectus Transaction Documents or the transactions contemplated in the Finance Transaction Documents; or (b) is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document Transaction Documents or the Transaction Security or any other agreement, arrangement or document entered into, made or executed in anticipation of or in connection with any Finance Document Transaction Documents or the Transaction Security.

Responsibility for documentation. None of the Facility Agent nor or the ArrangerSecurity Trustee is responsible for: (a) is responsible for the adequacy, accuracy and/or completeness of any information (whether oral or written) supplied by the Facility Agent, the Mandated Lead ArrangerSecurity Trustee, an Obligor or any other person given in or in connection with any Finance Document or the Tender Offer Prospectus or the transactions contemplated in the Finance Documents; orDocument; (b) is responsible for the accuracy of any representation, warranty or statement (whether written or oral) made in or at any time in connection with any Finance Document or the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or the Transaction Security or any other agreement, arrangement or document entered into, made or executed in anticipation of or in connection with any Finance Document Document; or (c) any determination as to whether any information provided or to be provided to any Finance Party is non-public information the Transaction Securityuse of which may be regulated or prohibited by applicable law or regulation relating to insider dealing or otherwise.

Responsibility for documentation. None of the Facility Agent nor Agent, the ArrangerMandated Lead Arranger and the Security Agent: (a) is responsible for the adequacy, accuracy and/or completeness of any information in­formation (whether oral or written) supplied by the Facility Agent, the Mandated Lead Arranger, the Security Agent, an Obligor or any other person given in or in connection with any Finance Document or the Tender Offer Prospectus or the transactions contemplated con­templated in the Finance Documents; or (b) is responsible for the legality, validity, effectiveness, adequacy or enforceability en­forceability of any Finance Document or the Transaction Security or any other agreement, arrangement or document entered into, made or executed exe­cuted in anticipation of or in connection with any Finance Document or the Transaction Security.

Responsibility for documentation. None of the Facility Agent nor Agent, the ArrangerArranger and the Trustee: (a) is responsible for the adequacy, accuracy and/or completeness of any information (whether oral or written) supplied by the Facility Agent, the Mandated Lead Arranger, the Trustee, an Obligor or any other person given in or in connection with any Finance Document or the Tender Offer Prospectus Information Package or the transactions contemplated in the Finance Documents; or (b) is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or the Transaction Security or any other agreement, arrangement or document entered into, made or executed in anticipation of or in connection with any Finance Document or the Transaction Security.

Responsibility for documentation. None of the Facility Agent nor or the ArrangerArrangers: (a) is responsible for the adequacy, accuracy and/or completeness of any information (whether oral or written) supplied by the Facility Agent, the Mandated Lead ArrangerArrangers, the Security Agent, an Obligor or any other person given in or in connection with any Senior Finance Document or the Tender Offer Prospectus Information Memorandum or the Reports or the transactions contemplated in the Senior Finance Documents; or (b) is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Senior Finance Document or the Transaction Security or any other agreement, arrangement or document entered into, made or executed in anticipation of or in connection with any Senior Finance Document or the Transaction Security.

Responsibility for documentation. None of the Facility Administrative Agent nor or the ArrangerArranger or the Security Trustee: (a) 26.9.1 is responsible for the adequacy, accuracy and/or completeness of any information (whether oral or written) supplied by the Facility Administrative Agent, the Mandated Lead Arranger, an Obligor or any other person given in or in connection with any Finance Document or the Tender Offer Prospectus Information Memorandum or the Reports or the transactions contemplated in the Finance Documents; or (b) 26.9.2 is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or the Transaction Security or any other agreement, arrangement or document entered into, made or executed in anticipation of or in connection with any Finance Document or the Transaction SecurityDocument.

Responsibility for documentation. 28.7.1 None of the Facility Agent nor or the ArrangerSecurity Agent: (a) is responsible for the adequacy, accuracy and/or completeness of any information (whether oral or written) supplied by the Facility Agent, the Mandated Lead ArrangerSecurity Agent, an Obligor or any other person given in or in connection with any Finance Document or the Tender Offer Prospectus Information Package or the transactions contemplated in the Finance Documents; or (b) is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or the Transaction Security Documents or any other agreement, arrangement or document entered into, made or executed in anticipation of or in connection with any Finance Document or the Transaction SecuritySecurity Documents.

Responsibility for documentation. None of the Facility Agent nor Agent, the ArrangerArranger or the Security Trustee: (a) is responsible for the adequacy, accuracy and/or completeness of any information (whether oral or written) supplied by the Facility Agent, the Mandated Lead Arranger, the Security Trustee, an Obligor or any other person given in or in connection with any Finance Document or the Tender Offer Prospectus Information Memorandum or the transactions contemplated in the Finance Documents; or (b) is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or the Transaction Security or any other agreement, arrangement or document entered into, made or executed in anticipation of or in connection with any Finance Document or the Transaction Security.

Responsibility for documentation. None of the Facility Agent nor or the Arranger: (a) is responsible for the adequacy, accuracy and/or completeness of any information (whether oral or written) supplied by the Facility Agent, Agent or the Mandated Lead Arranger, Arranger an Obligor or any other person given in or in connection with any Finance Document or the Tender Offer Prospectus Information Memorandum or the Reports or the transactions contemplated in the Finance Documents; or (b) is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or the Transaction Security or any other agreement, arrangement or document entered into, made or executed in anticipation of or in connection with any Finance Document or the Transaction Security.

Responsibility for documentation. None Neither of the Facility Agent nor or the Arranger: (a) is responsible for the adequacy, accuracy and/or completeness of any information (whether oral or written) supplied by the Facility Agent, the Mandated Lead Arranger, an Obligor or any other person given in or in connection with any Finance Document or the Tender Offer Prospectus Reports or the transactions contemplated in the Finance Documents; or (b) is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or the Transaction Security or any other agreement, arrangement or document entered into, made or executed in anticipation of or in connection with any Finance Document or the Transaction Security.

Responsibility for documentation. None of Neither the Facility Agent nor the Arranger: (a) is responsible for the adequacy, accuracy and/or completeness of any information (whether oral or written) supplied by the Facility Agent, the Mandated Lead an Arranger, an Obligor or any other person given in or in connection with any Finance Document Document, the Information Memorandum or the Tender Offer Prospectus Report or the transactions contemplated in the Finance Documents; or (b) is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or the Transaction Security or any other agreement, arrangement or document entered into, made or executed in anticipation of or in connection with any Finance Document or the Transaction Security.

Responsibility for documentation. None of Neither the Facility Agent nor the Mandated Lead Arranger: (a) is responsible for the adequacy, accuracy and/or completeness of any information (whether oral or written) supplied by the Facility Agent, the Mandated Lead Arranger, an Obligor the Borrower or any other person given in or in connection with any Finance Document or the Tender Offer Prospectus Reports or the transactions contemplated in the Finance Documents; or (b) is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or the Transaction Security or any other agreement, arrangement or document entered into, made or executed in anticipation of or in connection with any Finance Document or the Transaction Security.

Responsibility for documentation. None of the Facility Agent nor Agent, the ArrangerArranger and the Security Trustee: (a) is responsible for the adequacy, accuracy and/or completeness of any information (whether oral or written) supplied by another person, including the Facility Agent, the Mandated Lead Arranger, an Obligor or any other person given in or in connection with any Finance Document or in any other information provided in connection with the Tender Offer Prospectus or financing of the transactions contemplated in the Finance DocumentsProject; or (b) is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Transaction Document or the Transaction Security or any other agreement, arrangement or document entered into, made or executed in anticipation of or in connection with any Finance Document or the Transaction SecurityDocument.

Responsibility for documentation. None of the Facility Agent nor Agents or the ArrangerArrangers: (a) is are responsible for the adequacy, accuracy and/or completeness of any information (whether oral or written) supplied by the Facility an Agent, the Mandated Lead an Arranger, an Obligor the Borrower or any other person given in or in connection with any Finance Document or the Tender Offer Prospectus Information Memorandum or the transactions contemplated in the Finance Documents; or (b) is are responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or the Transaction Security or any other agreement, arrangement or document entered into, made or executed in anticipation of or in connection with any Finance Document or the Transaction Security.

Responsibility for documentation. None of the Facility Agent nor Agent, the Security Agent, the Arranger: (a) 27.8.1 is responsible for the adequacy, accuracy and/or completeness of any information (whether oral or written) supplied by the Facility Agent, the Mandated Lead Arranger, the Security Agent, an Obligor or any other person given in or in connection with any Finance Document or the Tender Offer Prospectus Information Package or the Reports or the transactions contemplated in the Finance Documents; or (b) 27.8.2 is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or the Transaction Security Documents or any other agreement, arrangement or document entered into, made or executed in anticipation of or in connection with any Finance Document or the Transaction SecuritySecurity Documents.

Responsibility for documentation. None of the Facility Agent nor Agent, the Security Agent, or the Arranger: (a) is responsible for the adequacy, accuracy and/or completeness of any information (whether oral or written) supplied by the Facility Agent, the Mandated Lead Security Agent, the Arranger, an Obligor or any other person given in or in connection with any Finance Document or the Tender Offer Prospectus Reports or the transactions contemplated in the Finance Documents; or (b) is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or the Transaction Security or any other agreement, arrangement or document entered into, made or executed in anticipation of or in connection with any Finance Document or the Transaction Security.

Responsibility for documentation. None of the Facility Agent nor Agent, the ArrangerMandated Lead Arranger and the Security Agent: (ai) is responsible for the adequacy, accuracy and/or completeness of any information (whether oral or written) supplied by the Facility Agent, the Mandated Lead Arranger, the Security Agent, an Obligor or any other person given in or in connection with any Finance Document or the Tender Offer Prospectus or the transactions contemplated in the Finance Documents; or (bii) is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or the Transaction Security or any other agreement, arrangement or document entered into, made or executed in anticipation of or in connection with any Finance Document or the Transaction Security.

Responsibility for documentation. None of the Facility Agent, Security Agent nor or the ArrangerMLAs: (a) is responsible for the adequacy, accuracy and/or completeness of any information (whether oral or written) supplied by the Facility Agent, the Mandated Lead ArrangerSecurity Agent, an Obligor the MLAs, the Borrower or any other person given in or in connection with any Finance Document or the Tender Offer Prospectus or the transactions contemplated in the Finance Documents; or; (b) is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or the Transaction Security under any Security Document or any other agreement, arrangement or document entered into, made or executed in anticipation of or in connection with any Finance Document or the Transaction SecuritySecurity under any Security Document.

Responsibility for documentation. None of the Facility Agent nor Agent, the ArrangerMandated Lead Arranger and the Security Agent: (ai) is responsible for the adequacy, accuracy and/or completeness of any information (whether oral or written) supplied by the Facility Agent, the Mandated Lead Arranger, the Security Agent, an Obligor Obligor, Kronos Denmark or any other person given in or in connection with any Finance Document or the Tender Offer Prospectus or the transactions contemplated in the Finance Documents; or (bii) is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or the Transaction Security or any other agreement, arrangement or document entered into, made or executed in anticipation of or in connection with any Finance Document or the Transaction Security.

Responsibility for documentation. None of the Facility Agent nor Agent, the ArrangerArrangers and the Security Agent: (a) is responsible for the adequacy, accuracy and/or completeness of any information (whether oral or written) supplied by the Facility Agent, the Mandated Lead ArrangerArrangers, the Security Agent, an Obligor or any other person given in or in connection with any Finance Document or the Tender Offer Prospectus Information Memorandum or the transactions contemplated in the Finance Documents; or (b) is responsible for the legality, validity, effectiveness, adequacy or enforceability of any Finance Document or the Transaction Security or any other agreement, arrangement or document entered into, made or executed in anticipation of or in connection with any Finance Document or the Transaction Security.
