Responsibility for Taxes on Distribution. Any person or entity that receives a distribution from the Settlement Fund shall be solely responsible for any taxes or tax-related expenses owed or incurred by that person or entity by reason of that distribution. Such taxes and tax-related expenses shall not be paid from the Settlement Fund.

Plaintiff acknowledges that the Released Parties have no responsibility for any taxes due on funds deposited in or distributed from the Settlement Fund or that Plaintiff or Class Counsel receive from the Settlement Amount.

Any person or entity that receives a distribution from the Settlement Benefit pursuant to Section 8 (except for a distribution of taxes), shall be solely responsible for any taxes or tax-related expenses owed or incurred by that person or entity by reason of that distribution. Such taxes and tax-related expenses shall not be paid from the Settlement Benefit.

Each Monetary Relief Class Member who receives a payment under this Agreement shall be fully and ultimately responsible for payment of any and all federal, state or local taxes resulting from or attributable to the payment received by such person. Each Monetary Relief Class Member shall hold Defendants, Defendants’ Counsel, the Defendant Released Parties, Class Counsel, and the Settlement Administrator harmless from any tax liability, including penalties and interest, related in any way to payments or credits under the Agreement, and shall hold Defendants, Defendants’ Counsel, the Defendant Released Parties, Class Counsel, and the Settlement Administrator harmless from the costs (including, for example, attorneys’ fees and disbursements) of any proceedings (including, for example, investigation and suit), related to such tax liability.

Any person or entity that receives Merchandise Settlement Certificates (whether redeemed for goods, or Cash Awards, or not redeemed at all) shall be solely responsible for any taxes or tax-related expenses owed or incurred by that person or entity by reason of that distribution. Such taxes and tax-related expenses shall not be paid by Defendants.
Responsibility for Taxes on Distribution. Any person or entity that receives a 19 distribution from the Settlement Fund will be solely responsible for any taxes or tax-related 20 expenses owed or incurred by that person or entity by reason of that distribution. Such taxes and 21 tax-related expenses will not be paid from the Settlement Fund.

Any person or entity that receives a distribution from the Settlement Fund pursuant to Section 10.04 shall be solely responsible for any taxes or tax-related expenses owed or incurred by that person or entity by reason of that distribution. However, if any applicable Federal and/or State taxes are required, and if the Class Member does not complete a Substitute IRS Form W-9, any applicable Federal and/or State taxes required to be withheld will be withheld from the Settlement Award and paid to the appropriate agencies as taxes by the Claims Administrator.
