RESPONSIBILITY OF STATE STREET AS RECORDKEEPER. So long as and to the extent that it is in the exercise of reasonable care and good faith, State Street shall not be responsible or liable for, and Fund will indemnify and hold State Street harmless from and against, any and all costs, expenses, losses, damages, charges, counsel fees, payments and liabilities which may be asserted against or incurred by State Street or for which State Street may be held to be liable, arising out of or attributable to any error, omission, inaccuracy or other deficiency in the Fund’s accounts and records or other information provided by or on behalf of the Fund to State Street, including the accuracy of the prices quoted by the Pricing Sources or for the information supplied by Fund to price the assets, or the failure of Fund to provide, or provide in a timely manner, any accounts, records, or information needed by State Street to perform hereunder.
