RESPONSIBILITY OF THE ADVISOR. The Advisor will act at all times in a fiduciary capacity with respect to the Client assets, and shall at no time have physical custody or control of the Client assets. The Advisor will exercise good faith in negotiating the fees, commissions, and expenses paid with respect to transactions involving the Portfolio assets.
