Common use of Responsible Employee's Certificates Clause in Contracts

Responsible Employee's Certificates. The Lessor shall have received a Responsible Employee's Certificate of the Lessee, in substantially the form of Exhibit C, dated as of the Acquisition Date, stating that for the Lessee (i) each and every representation and warranty of the Lessee contained in each Operative Document to which it is a party is true and correct in all Material respects on and as of the Acquisition Date; (ii) no Default or Event of Default has occurred and is continuing under any Operative Document with respect to the Lessee; (iii) each Operative Document to which the Lessee is a party is in full force and effect with respect to it; and (iv) the Lessee has duly performed and complied in all Material respects with all covenants, agreements and conditions contained herein or in any Operative Document required to be performed or complied with by it on or prior to the Acquisition Date.
