Common use of Restaurant Operating System Clause in Contracts

Restaurant Operating System. The Partners acknowledge that as between the parties hereto, the Company is the sole owner of the System and all elements thereof and the Proprietary Marks. The Company agrees that each Partnership Restaurant shall utilize the System and the Proprietary Marks during the term of the Partnership. The Partners agree to operate each Partnership Restaurant in strict compliance with the System as modified from time to time by the Company. Nothing contained herein shall be construed as granting the Partnership or any Limited Partner any right, title, or interest in the System or any element thereof except the right to utilize the System in the operation of the Partnership’s Restaurants during the term of the Partnership. The Company retains the exclusive right to establish Restaurants utilizing the System alone, or in conjunction with others, and to license others to do so. Neither the Partnership nor the Limited Partners shall have any right, title, or interest in such restaurants.
