Restaurant Properties Operating L. P. The business of the Partnership may be conducted under any other name deemed necessary or desirable by the Managing General Partner, in its sole and absolute discretion, except that such other name may not include the surname of any Limited Partner unless such surname is also the name or surname of the Managing General Partner. The words "Limited Partnership" shall be included in the name of the Partnership where necessary for complying with the laws of any jurisdiction that so requires. The Managing General Partner (and, if necessary, all other General Partners) promptly shall execute, file and record any assumed or fictitious name certificates required by the laws of Delaware or any other state in which the Partnership transacts business, and shall publish such certificates or other statements or certificates as are required by the laws of Delaware or any other state in which the Partnership transacts business.

The parties desire to effect the sale to Buyer of certain of the assets of Seller used in connection with operating the El Dorado location, and for the Buyer and Seller to terminate the lease of the building at the El Dorado location so that Buyer can operate the business at the El Dorado location it owns.
