Common use of Restricted Securities and Legend Clause in Contracts

Restricted Securities and Legend. The Investor understand that neither the Notes nor any of the Conversion Shares have been registered under the Act or the securities laws of any State and that the Notes and the certificates for the Conversion Shares shall bear a legend substantially similar to the one found on the Note attached hereto as Exhibit A. Certificates evidencing the Conversion Shares need not contain any legend (i) while a registration statement covering the resale of such security is effective under the Act, (ii) following any sale of such Conversion Shares pursuant to Rule 144, or (iii) if such Conversion Shares are eligible for sale under Rule 144(b)(1) without reliance on the conditions set forth in Rule 144(c)(1) relating to the availability of current public information.
