Restricted Stock and Options and other Equity Compensation. Upon completion of the transactions contemplated by the Contribution Agreement, the Executive will be granted stock options and restricted stock in the amounts and subject to the terms described on Appendix A to this Agreement. The Executive also shall participate in any annual or special equity compensation or long-term compensation plans and programs made available to the senior executive officers of the Company.
