Restricted Stock Award Subject to Plan. The Restricted Stock Award shall be governed by the terms of 2010 Equity Incentive Plan. In the event of any conflict between the provisions of the 2010 Equity Incentive Plan in effect on the Effective Date and the provisions of this Attachment “A”, the provisions of the 2010 Equity Incentive Plan shall govern. All references to the 2010 Equity Incentive Plan in this Attachment “A” shall mean the 2010 Equity Incentive Plan as in effect on the Effective Date. The Executive hereby acknowledges that a copy of the 2010 Equity Incentive Plan has been made available to the Executive and the Executive agrees to be bound by all of the terms of the 2010 Equity Incentive Plan.
