Common use of Restricted Stock Not Transferable Clause in Contracts

Restricted Stock Not Transferable. Until the Restrictions hereunder lapse or expire pursuant to this Agreement and the shares of Common Stock vest, the Restricted Stock (including any shares of Common Stock received by holders thereof with respect to Restricted Stock as a result of stock dividends, stock splits or any other form of recapitalization) shall be subject to the restrictions on transferability set forth in Section 11.3 of the Plan; provided, however, that this Section 3.2 notwithstanding, with the consent of the Administrator, the shares of Common Stock may be transferred to one or more Permitted Transferees, subject to and in accordance with Section 11.3 of the Plan.

Until the Restrictions hereunder lapse or expire pursuant to this Agreement and the shares of Common Stock Shares vest, the Restricted Stock (including any shares of Common Stock Shares received by holders thereof with respect to Restricted Stock as a result of stock dividends, stock splits or any other form of recapitalization) shall be subject to the restrictions on transferability set forth in Section 11.3 12.3 of the Plan; provided, however, that this Section 3.2 notwithstanding, with the consent of the Administrator, the shares of Common Stock Shares may be transferred to one or more Permitted Transfereesa transferee specifically approved by the Administrator, subject to and in accordance with Section 11.3 of the Planafter taking into account Applicable Law.
