Common use of Restricted Subsidiary Guarantees Clause in Contracts

Restricted Subsidiary Guarantees. The Borrower shall cause each Restricted Subsidiary delivering a Restricted Subsidiary Guarantee after the Effective Date to promptly deliver to the Agent certified copies of its constating documents, by-laws and the resolutions authorizing the Restricted Subsidiary Guarantee, a certificate as to the incumbency of the officers of such Restricted Subsidiary signing such guarantee and an opinion of legal counsel to such Restricted Subsidiary respecting those matters as are addressed with respect to the Borrower in the legal opinion referred to in Section 9.1(d) and such other matters as may be reasonably required by the Agent, with all such certificates and opinions to be in form and substance satisfactory to the Agent, acting reasonably.

The Borrower shall cause each Restricted Subsidiary delivering a Restricted Subsidiary Guarantee after the Effective Date to promptly deliver to the Agent Lender certified copies of its constating documents, by-laws and the resolutions authorizing the Restricted Subsidiary Guarantee, a certificate as to the incumbency of the officers of such Restricted Subsidiary signing such guarantee and an opinion of legal counsel to such Restricted Subsidiary respecting those matters as are addressed with respect to the Borrower in the legal opinion referred to in Section 9.1(d) 7.1 hereof and such other matters as may be reasonably required by the AgentLender, with all such certificates and opinions to be in form and substance satisfactory to the AgentLender, acting reasonably.
