Restricted Systems Audits by Sutro. Sutro shall have the right to audit Vaxcyte’s Restricted Systems to ensure compliance with Section 6.2 (each such audit, a “Restricted Systems Audit”). Sutro shall not be permitted to conduct Restricted Systems Audits more frequently than [***], unless Sutro has reasonable cause to conduct a Restricted Systems Audit in respect of a suspected material violation of Section 6.2 of this Agreement by Vaxcyte or its Affiliate(s). Prior to conducting any Restricted Systems Audit, Sutro shall provide reasonable advanced written notice to Vaxcyte, but in any event at least [***] (or at least [***] in the event of reasonable cause) prior to such Restricted Systems Audit.
