Restricted Territory. Executive and Company understand and agree that Company’s business is not geographically restricted and is unrelated to the physical location of Company facilities or the physical location of any Competing Business, due to extensive use of the Internet, telephones, facsimile transmissions and other means of electronic information and product distribution. Executive and Company further understand and agree that Executive will, in part, work toward expanding Company’s markets and geographic business territories and will be compensated for performing this work on behalf of Company. Accordingly, Company has a protectable business interest in, and the parties intend the Restricted Territory to encompass, each and every location from which Executive could engage in a Competing Business in any country, state, province, county or other political subdivision in which Company has clients, employees, suppliers, distributors or other business partners or operations. If, but only if, this Restricted Territory is held to be invalid on the ground that it is unreasonably broad, the Restricted Territory shall include each location from which Executive can conduct business in any of the following locations: each state in the United States in which Company conducts sales or operations, each province within Canada in which Company conducts sales or operations, and each political subdivision of the United Kingdom in which Company conducts sales or operations. If, but only if, this Restricted Territory is held to be invalid on the grounds that it is unreasonably broad, then the Restricted Territory shall be any location within a fifty (50) mile radius of any Company office.
Restricted Territory. For all purposes under this Agreement, “Restricted Territory” shall mean any state, county, or locality in the United States or around the world in which the Company conducts business.
Restricted Territory. The Restricted Territory shall include the following counties and parishes in the states where the Company and its subsidiaries and affiliates conduct business:
Restricted Territory. “Restricted Territory” means any county in the State of California, each state in the United States and each country in the world.
Restricted Territory. “Restricted Territory” means any geographic area in which the Company does business or is actively planning to do business at the time the Employee’s employment terminates or at any time during the two (2) year period immediately prior to such termination.
Restricted Territory. For the purposes of Section 9(b), the Restricted Territory shall be defined as and limited to the geographic area(s) within a 100 mile radius of any and all areas in which the Company was located immediately prior to the Effective Date in, to, or for which Executive worked, to which Executive was assigned or had any responsibility (either direct or supervisory) at the Date of Termination and at any time during the one (1) year prior to the Date of Termination.
Restricted Territory. As used herein, “Restricted Territory” means:
Restricted Territory. For the purposes of subparagraph 7(c), the Restricted Territory shall be defined as and limited to:
(i) the geographic area(s) within a one hundred (100) mile radius of any and all Company and franchisee location(s) in, to, or for which Executive worked, to which Executive was assigned or had any responsibility (either direct or supervisory) at the time of termination of Executive's employment and at any time during the two (2) year period prior to such termination; and
(ii) all of the specific customer accounts, whether within or outside of the geographic area described in (i) above, with which Executive had any contact or for which Executive had any responsibility (either direct or supervisory) at the time of termination of Executive's employment and at any time during the two (2) year period prior to such termination. For purposes of this paragraph 7, "customers" shall include all franchisees of the Company and all national accounts of the Company.
Restricted Territory. The Restricted Territory shall include the following counties and parishes in the states where the Company and its subsidiaries and affiliates conduct business: ALABAMA Autauga, Baldwin, Barbour, Bibb, Blxxxx, Bullock, Butler, Calhoun, Chambers, Chilton, Choctaw, Clarke, Clay, Cleburne, Coffee, Colbert, Conecuh, Coosa, Covington, Crenshaw, Cullman, Xxxx, Xxxxxx, DeKalb, Elmore, Xxxxxxia, Etowah, Fayette, Franklin, Xxxxxx, Xxxxxx, Hale, Henry, Hxxxxxn, Jackson, Jeffersox, Xxxxx, Xxxxxxdale, Lawrence, Lee, Limestone, Lowndes, Macon, Madison, Marengo, Marion, Marshall, Mobile, Monroe, Montgomery, Morgan, Perry, Pickens, Pike, Randolph, Xxxxxxx, Xxxxxx, St. Clair, Talladega, Tallapoosa, Tuscaloosa, Walker, Washington, Wilcox, Xxxxxxx
Restricted Territory. For the purposes of Section 14(b), the Restricted Territory shall be defined as and limited to (i) the geographic area(s) within a 100 mile radius of any and all areas in which the Company was located immediately prior to February 10, 2012 in, to, or for which I worked, to which I was assigned or had any responsibility (either direct or supervisory) at the date of termination and at any time during the one (1) year prior to the date of termination and (ii) all of the specific customer accounts, whether within or outside of the geographic area described in (i) above, with which I had any contact or for which I had any responsibility (either direct or supervisory) at the time of termination of my employment and at any time during the one (1) year period prior to such termination.
