Restriction on Licensing Intellectual Property. Debtor shall not license any Intellectual Property or any portion thereof reasonably necessary for the operation of Debtor’s business, or amend or permit the amendment of any of the Licenses in either case in a manner that adversely affects the right to receive any material amount of payments thereunder, or is in any manner adverse to the interests of Lender in the Intellectual Property without the consent of Lender (which consent shall not be unreasonably withheld).
