RESTRICTION ON RIGHT OF LIMITED PARTNERS. A Majority Vote may not modify this Agreement with respect to the compensation or distributions to which the General Partner is entitled or which affects the duties of the General Partner except with the consent of the General Partner, except as provided in Paragraph 8.6.4 of this Agreement.
