Common use of Restriction on Sale of Shares Clause in Contracts

Restriction on Sale of Shares. The Performance Shares are subject to section 257 of the Singapore Securities and Futures Act (Chapter 289, 2006 Ed.) (“SFA”) and the Participant should not make any subsequent sale in Singapore, or any offer of such subsequent sale of the Shares underlying the Performance Shares, unless such sale or offer in Singapore is made (1) after 6 months of the grant of the Performance Shares to the Participant; or (2) pursuant to the exemptions under Part XIII Division (1) Subdivision (4) (other than section 280) of the SFA.

(“SFA”) and the Participant should will not be able to make any subsequent sale in Singapore, offer to sell or any offer of such subsequent sale of the Shares underlying the Performance Sharesin Singapore, unless such offer or sale or offer in Singapore is made (1) after 6 six (6) months of from the grant of the Performance Shares to the Participant; Grant Date or (2) pursuant to the exemptions under Part XIII Division (1) Subdivision (4) (other than section 280) of the SFA, or pursuant to and in accordance with the conditions of, any applicable provisions of the SFA.
