Restriction on Transfer of Licenses and Buyer Subsidiary. Until the expiry of the "Anti-Dilution Period" (a) Buyer shall not, without the prior written consent of Seller, which consent shall not be unreasonably withheld, transfer, sell, assign or convey all or any of the Licenses or any part thereof to any third party; and (b) Buyer Guarantor shall not transfer, sell, assign or convey any interest in the Buyer to any third party.
