The Holder of a Representative's Warrant Certificate, by its acceptance thereof, covenants and agrees that the Representative's Warrant is being acquired as an investment and not with a view to the distribution thereof, and that the Representative's Warrant may not be sold, transferred, assigned, hypothecated or otherwise disposed of, in whole or in part, for the term of the Representative's Warrant, except to officers or partners of the Underwriters, or by operation of law.
