Common use of Restriction on Transfer Rights; Confidentiality Clause in Contracts

Restriction on Transfer Rights; Confidentiality. The rights granted to each of the Preferred Stockholders pursuant to Sections 2(f) through 2(h) hereof (the “Financial Information Rights”) shall not be transferred or assigned by any Preferred Stockholder to, and shall not inure to the benefit of, any successor, transferee or assignee of any Preferred Stockholder or member of the Preferred Stockholder’s Group that, in each case, is engaged in any business directly competitive with the Corporation.

The rights granted to each of the Preferred Stockholders Investors pursuant to Sections 2(f) 2.6 through 2(h) 2.8 hereof (the “Financial Information Rights”) shall not be transferred or assigned by any Preferred Stockholder Investor to, and shall not inure to the benefit of, any successor, transferee or assignee of any Preferred Stockholder or member of the Preferred Stockholder’s Group thatInvestor, in each case, while it is engaged in any business directly competitive with the Corporation.
