Restrictions and Agreements. Except as set forth in Schedule 4(i), (i) none of the Company or any of its Subsidiaries is a party to, nor is the Company or any of its Subsidiaries or any of their respective properties or assets subject to or bound by, any judgment, order or decree of any Governmental Entity which has or is reasonably likely to have, individually or in the aggregate, a Company Material Adverse Effect, and (ii) none of the Company or any of its Subsidiaries is a party to nor are any of their respective properties or assets subject to or bound by, any contract, agreement or other instrument, which, as a result of the execution of this Agreement or the Second Step Plan of Merger or the consummation of the transactions contemplated hereby or thereby, has or is reasonably likely to have, individually or in the aggregate, a Company Material Adverse Effect.
