RESTRICTIONS ON ASSIGNMENT OF INTEREST. Except as may be provided in Sections 7.4, 10 or 12.1, and subject to the conditions set forth in Section 11.1 above, no Partner shall transfer, sell, assign, give or otherwise dispose of his or her Partnership Interest or a part thereof, whether voluntarily or by operation of law, or at judicial sale or otherwise.
