Restrictions on Business. Except as set forth on Schedule 8 of the Disclosure Letter, neither the Issuer nor any of its Subsidiaries is a party to or bound by a Material Agreement, which expressly limits the freedom of the Issuer or any Subsidiary to compete in any line of business, transfer or move any of its assets or operations which materially and adversely affects, or could reasonably be expected to materially and adversely affect, the business practices, operations or condition of the Issuer or any Subsidiary.
