Restrictions on Certain Admissions and Assignments. No Partner shall consent to any Person becoming a General Partner or Limited Partner, by Assignment of its Interest in the Partnership or otherwise, to the extent that, to the knowledge of such Partner, such Person is a “disqualified person” or more than five percent (5%) of the interests in such Person are owned by “disqualified persons” with respect to a Foundation Partner, without the prior written consent of such Foundation Partner.
