Restrictions on Disclosure; Public Announcements. No disclosure or announcement, public or otherwise, in respect of this Agreement or the transactions contemplated herein will be made by any party without the prior written agreement of Xxxxxx and the Vendors, each acting reasonably, as to timing, content and method, provided that the obligations herein will not prevent any Party from making, after making reasonable efforts to obtain the other Party’s approval, such disclosure as its legal counsel advises is required by Applicable Securities Laws or the Exchange Policies or as is required to carry out the transactions contemplated in this Agreement or the obligations of any of the Parties hereto.
