Restrictions on Doing Business. The Target is not a party to or bound by any agreement which would restrict or limit its right to carry on any business or activity, including the Business of the Target.

The Corporation is not a party to or bound by any agreement which would restrict or limit its right to carry on any business or activity or solicit business from any person or geographical area or otherwise to conduct its business as the Corporation may determine, subject to its constating documents. The Corporation is not subject to any legislation or judgment, order or requirement of any court or governmental authority that is not of general application to persons carrying on a business similar to that of the Corporation. To the best of the knowledge of the Vendor, there are no facts or circumstances which could materially adversely affect the ability of the Corporation to continue to operate the Business as presently conducted following completion of the transactions contemplated herein.

The Corporation is not a party to or currently bound by any agreement or commitment which would restrict or limit its rights to carry on or compete in any business or activity or to solicit business from any Person or in any geographical area or otherwise to conduct the Business proposed to be conducted. The Corporation is not subject to any legislation or any judgment, Order or requirement of any court or other Governmental Authority which is not of general application to Persons carrying on a business similar to the Business.
Restrictions on Doing Business. The Borrower is not subject to any legislation or any judgment, order or requirement of any court or agency which is not of general application to Persons carrying on a business similar to theirs. There are no facts or circumstances which could reasonably have a material adverse effect upon the ability of the Borrower to continue to operate its Business, operations and affairs as presently conducted;

Blue Sky is not a party to or bound by any agreement that would restrict or limit its right to carry on any business or activity or to solicit business from any Person or otherwise to conduct the Business as Blue Sky may determine or desire. Blue Sky is not subject to any legislation or any judgment, order or requirement of any Governmental Authority that is not of general application to Persons carrying on a business similar to the Business. There are no facts or circumstances that could materially adversely affect the ability of Blue Sky to continue to operate the Business, as presently conducted, following the completion of the transactions contemplated by this Agreement.
Restrictions on Doing Business. The Cybernet Companies are not subject to any legislation or any judgment, order or requirement of any court or agency which is not of general application to Persons carrying on a business similar to theirs. There are no facts or circumstances which could have a Material Adverse Effect upon the ability of any of the Cybernet Companies to continue to operate its Business, operations and affairs as presently conducted;
Restrictions on Doing Business. Neither Xxxxxxxx nor any of the Subsidiaries is subject to any legislation, rule or regulation or any judgment, order or requirement of any authority which is not of general application to persons carrying on business similar to the Business. There are no facts or circumstances which could have a materially adverse effect on the ability of any of the Subsidiaries to continue to operate the Business as presently conducted following the Closing Date.
Restrictions on Doing Business. Except as disclosed in Section 4.25 of the Disclosure Letter, neither Seller nor any Affiliate thereof is a party to or bound by any Contract or commitment which would restrict or limit the rights of the Business to carry on or compete in any business or activity or to solicit business from any Person or in any geographical area or otherwise to conduct the Business as currently conducted and as proposed to be conducted, in each case, in any material respect.

To the best of the knowledge of each of the Vendor and KI, there are no facts or circumstances in relation to the Business and independent of the Purchaser, which could materially adversely affect the ability of the Purchaser to continue to operate the Business as presently conducted following the completion of the transactions contemplated by this Agreement.
