RESTRICTIONS ON ISSUANCE OF FUNDING AGREEMENTS. The Company shall not issue or agree to issue, during the period commencing on the date of the Distribution Agreement and continuing to and including the Settlement Date with respect to the Notes, any funding agreement or similar agreement for the purpose of supporting the issuance by a special purpose entity of securities denominated in the same currency or substantially similar to the Notes, in each case, without the prior written consent of the Agent(s).
