Common use of Restrictions on Subsidiaries Clause in Contracts

Restrictions on Subsidiaries. Except for restrictions contained in this Agreement or any other agreement with respect to the Debt of the Loan Parties permitted hereunder, there are no contractual or consensual restrictions on any Loan Party or any of their Restricted Subsidiaries which prohibit or otherwise restrict (a) the transfer of cash or other assets (i) between any Loan Party and any of its Restricted Subsidiaries or (ii) between any Restricted Subsidiaries of the Loan Parties or (b) the ability of any Loan Party or any of their Restricted Subsidiaries to incur Debt or grant security interests to the Secured Parties in the Collateral.

Except for restrictions contained in this Agreement or any other agreement with respect to Indebtedness of any Credit Party permitted hereunder as in effect on the Debt of the Loan Parties permitted hereunderdate hereof, there are no contractual or consensual restrictions on any Loan Credit Party or any of their Restricted its Subsidiaries which prohibit or otherwise restrict (a) the transfer of cash or other assets (i) between any Loan Credit Party and any of its Restricted or their Subsidiaries or (ii) between any Restricted Subsidiaries of the Loan Parties any Credit Party or (b) the ability of any Loan Credit Party or any of its or their Restricted Subsidiaries to incur Debt Indebtedness or grant security interests to the Secured Parties Collateral Agent or any Lender in the Collateral.
