Common use of Restrictions on the Members Clause in Contracts

Restrictions on the Members. Notwithstanding anything that may be contained herein to the contrary, no Member shall take part in the control or management of the affairs of the Company or have any authority to act for or on behalf of the Company or to vote on any matter relative to the Company and its affairs. In addition, no Member shall have the right or power to: (a) withdraw or reduce its contribution to the capital of the Company or reduce its Capital Commitment; (b) to the fullest extent permitted by law, cause the dissolution and winding up of the Company; or (c) demand or receive property in return for its capital contributions. For purposes of the Act, the Members shall constitute a single class or group of members.
