Restrictions on Transfer; Beneficial Ownership. The Purchaser acknowledges and agrees that the Bond and the Common Shares issuable thereunder have not been registered under the Securities Act, and they may not be offered, sold, pledged or otherwise transferred in the absence of such registration or an applicable exemption therefrom. The Purchaser and any person that directly, or indirectly through one or more intermediaries, controls, or is controlled by, or under common control with, the Purchaser, collectively beneficially own and will beneficially own as of the date of the closing of the Transaction (but without giving effect to the Transaction) less than 10% of the outstanding Common Shares of the Company.
