RESTRICTIONS ON TRANSFER OF SHARES OF THE CORPORATION. Except as otherwise provided in this Agreement, no Shareholder shall transfer by way of sale, gift or otherwise, or encumber by pledge, assignment, mortgage, charge or otherwise, or otherwise dispose of or cease to be the holder of any of the Common Shares of which such Shareholder is at any time the registered or beneficial owner, without the prior written consent of the other Shareholder.
