Each Shareholder agrees he, she or it will not Transfer or create an Encumbrance on any of the Deposited Shares except in compliance with this Agreement. The Corporation will not register on its books and records any Transfer of Deposited Shares unless the provisions of this Agreement have been complied with in full. Any purported Transfer by a Shareholder of Deposited Shares without full compliance with the provisions of this Agreement will be null and void.
