Restrictions Prior to Closing. (a) You hereby agree that during the period following the signing of this letter agreement and prior to the Closing, you shall not terminate your employment for Good Reason or provide notice regarding a condition allegedly constituting Good Reason. (b) You and the Company also agree that, during the Pre-Closing Period, neither the Employment Agreement nor this letter agreement shall be amended, modified, replaced or terminated without Parent’s prior written consent and that Parent shall be a third-party beneficiary of this Section 5(b).
